Welcome to Garbage Gators! These Terms and Conditions ("Terms") govern your access to and use of the Garbage Gators mobile application (the "App"), the Garbage Gators website located at [Enter your website address, e.g., www.garbagegators.com] (the "Website"), and all related services, features, content, and products (collectively, the "Services") provided by Garbage Gators ("Garbage Gators," "we," "us," or "our").

 
PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL POLICIES INCORPORATED BY REFERENCE, INCLUDING OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE OUR SERVICES.

 

1. Acceptance of Terms

By creating an account, downloading the App, using the Website, or otherwise accessing or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy [Link to your Privacy Policy] which is incorporated herein by reference.

2. Eligibility and Age Restriction

You must be at least eighteen (18) years of age to use the Services. By using the Services, you represent and warrant that you are at least 18 years old and are legally capable of entering into a binding contract. If you are not at least 18 years of age, you are not permitted to use the Services.

Important Note for Louisiana Law: We strictly prohibit individuals under the age of 18 from using our Services. This approach ensures compliance with potential future legislation in Louisiana regarding minors' online activity, such as House Bill 570 (or similar acts), which may mandate age verification and parental consent for minors using certain online services. By restricting use to adults 18 and over, we aim to avoid the complexities and requirements associated with servicing minor users under such potential laws.

3. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least [e.g., 30 days'] notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised Terms. Your use of our Services is also governed by our Privacy Policy, which explains how we collect, use, and disclose information about you. 5. Your Account

  • Account Creation: To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

  • Account Security: You are responsible for maintaining the confidentiality of your account password and are fully responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this section.

  • Account Suspension/Termination: We reserve the right to suspend or terminate your account and your access to the Services at our sole discretion, without notice or liability, for any reason, including but not limited to, if you breach these Terms or if we suspect you are under the age of 18.

6. Use of Services

  • License to Use: Subject to your compliance with these Terms, Garbage Gators grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use.

  • Prohibited Conduct: You agree not to:

    • Use the Services for any unlawful purpose or in violation of any local, state, national, or international law, including but not limited to Louisiana law.

    • Use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party's use of the Services.

    • Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services, through hacking, password mining, or any other means.

    • Upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

    • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity. (Note: Louisiana law, R.S. 14:73.10, makes online impersonation with intent to harm, intimidate, threaten, or defraud unlawful.)

    • Engage in any activity that interferes with or disrupts the Services or the servers and networks connected to the Services.

    • Reverse engineer, decompile, disassemble, modify, or create derivative works of the App or Website or any portion thereof.

    • Use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission.

    • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express written permission.

7. Intellectual Property Rights

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Garbage Gators or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8. User-Generated Content

If the Services allow you to submit, post, or display content (e.g., feedback, reviews, suggestions) ("User-Generated Content"), you retain ownership of your User-Generated Content. However, by submitting User-Generated Content, you grant Garbage Gators a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User-Generated Content in connection with the Services and Garbage Gators's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels.

You represent and warrant that: (i) you own the User-Generated Content submitted by you or have the necessary licenses, rights, consents, and permissions to grant the foregoing license to Garbage Gators; and (ii) the posting and use of your User-Generated Content on or through the Services does not violate the privacy rights, publicity rights, copyrights, contract rights, intellectual property rights, or any other rights of any person.

We reserve the right, but are not obligated, to remove or edit User-Generated Content at our sole discretion.

9. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

GARBAGE GATORS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. GARBAGE GATORS DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICES IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LOUISIANA LAW, IN NO EVENT SHALL GARBAGE GATORS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

EVEN IF GARBAGE GATORS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY, THE AGGREGATE LIABILITY OF GARBAGE GATORS FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID, IF ANY, TO GARBAGE GATORS FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Garbage Gators, its affiliates, licensors, and service providers, and its respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms.

  • Your use of the Services, including, but not limited to, your User-Generated Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms.

  • Your violation of any rights of another party.

  • Your violation of any applicable law, rule, or regulation in Louisiana or any other jurisdiction.

12. Governing Law and Jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Desoto Parish, Louisiana. You hereby consent to the personal jurisdiction of such courts.

13. Dispute Resolution (Arbitration)

Mediation: In the event of any dispute arising under these Terms, the parties agree to first attempt to resolve the dispute through good faith negotiation. If negotiation fails, the parties agree to consider non-binding mediation in Desoto Parish, Louisiana, with a mutually agreed-upon mediator.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect.

15. Waiver

No waiver by Garbage Gators of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Garbage Gators to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

16. Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and Garbage Gators regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
